These Terms govern your use of heymeri.com and the Northstar preview (together, the “Service”), operated by Escape Hatch, LLC, a North Carolina limited liability company (“Escape Hatch,” “we,” or “us”). By joining the invite list, creating an account, or using the Service, you agree to them. If you do not agree, do not use the Service.
1. The Service is a preview
Northstar is an invite-only preview, provided free of charge. That has real consequences you should weigh before relying on it:
- Features may change, break, or disappear without notice.
- There is no uptime commitment and no service-level agreement.
- We may modify, suspend, or discontinue the Service, in whole or in part, at any time.
- We may revoke preview access at our discretion, including to manage capacity.
Keep your own copies of anything you cannot afford to lose. We are not offering this preview as a system of record.
2. Eligibility and accounts
You must be at least 16 to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for everything that happens under your account. Tell us promptly at privacy@heymeri.com if you suspect unauthorized use. Do not share your account or let anyone else use it.
3. Acceptable use
You agree not to:
- Break the law, or infringe anyone’s intellectual-property or privacy rights;
- Upload material you lack the right to share, including confidential information belonging to someone else;
- Probe, scan, or test the security of the Service, or bypass any access control or rate limit, without our written permission;
- Interfere with or place unreasonable load on the Service or its infrastructure;
- Scrape or bulk-extract content except through interfaces we provide for that purpose;
- Use the Service to build a competing product, or to develop or train a machine-learning model;
- Upload malware, or use the Service to send spam or unsolicited email.
4. Your content
You keep ownership of everything you put into Northstar. We claim no ownership of it.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, and process your content solely to operate and improve the Service for you — including sending it to the AI providers described in our Privacy Policy so features can function. This licence exists only so we can run the Service, ends when you delete the content or your account, and does not let us publish your content or use it to train models.
You are responsible for your content and for having the rights to submit it.
5. AI-generated output
Northstar uses large language models to produce plans, summaries, and suggestions. This matters:
- Output can be wrong, incomplete, or misleading, and may be presented confidently regardless.
- It is not professional advice — legal, financial, medical, or otherwise.
- Review it before you act on it. You are responsible for decisions you make using it.
- Similar output may be generated for other users, and we make no claim that output is unique or protectable.
6. Feedback
If you send us suggestions or feedback, we may use them without restriction or compensation. You are not obliged to send any.
7. Our intellectual property
The Service — software, design, text, and the Northstar and Meridian names and logos — belongs to Escape Hatch and its licensors, and is protected by intellectual-property law. These Terms grant you a limited, personal, non-transferable, revocable right to use the Service as offered, and nothing more. Do not copy, modify, reverse-engineer, or create derivative works from it except where that restriction is unenforceable by law.
8. Third-party services
The Service integrates third parties, including sign-in providers and AI model providers. Your use of those is governed by their terms, and we are not responsible for them. Linked third-party sites are likewise outside our control.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without cause, and without notice where the Service is being misused or where required by law. On termination your right to use the Service ends immediately; sections 4 (as to the licence already exercised), 5, 6, 7, and 10 through 13 survive.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that any output will be accurate or reliable. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESCAPE HATCH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
BECAUSE THE PREVIEW IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO ONE HUNDRED US DOLLARS (US$100). Some jurisdictions do not allow these limits, so they may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Escape Hatch and its officers, members, and agents from any claim or demand, including reasonable legal fees, arising out of your content, your use of the Service, or your violation of these Terms or of any law or third-party right.
13. Governing law and disputes
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You and Escape Hatch agree to the exclusive jurisdiction of the state and federal courts located in North Carolina, and each waives any objection to venue there. Nothing prevents either party from seeking injunctive relief in any court of competent jurisdiction.
14. Changes to these Terms
We may update these Terms. We will change the date at the top, and for material changes we will give notice through the Service or by email before they take effect. Continuing to use the Service after that means you accept the updated Terms.
15. General
These Terms and the Privacy Policy are the entire agreement between you and Escape Hatch regarding the Service. If a provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
